Terms of Service

1. The Agreement

These Terms of Service ("Terms") govern your access to and use of Prevantic's software, services, and website. By using our services, you (the "Customer") agree to be bound by these Terms and our Privacy Policy.

If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these conditions.

2. Service Provision & Software License

Prevantic grants you a non-exclusive, non-transferable, revocable license to use our AI-native platform solely for your internal business operations, specifically for the generation and analysis of clinical and regulatory documentation.

  • Updates: We may update the software from time to time to enhance features or ensure security.
  • Support: Support levels are defined in your specific Service Level Agreement (SLA) or Master Services Agreement (MSA).
  • Restrictions: You may not reverse engineer, decompile, or attempt to derive the source code of the Prevantic platform.

3. Customer Responsibilities & Data

Ownership: Customer retains all rights, title, and interest in and to any and all data, documents, or content uploaded or processed through the service (the "Customer Content"). Prevantic makes no claim of ownership over your intellectual property.

Accuracy & Verification: While Prevantic uses advanced AI to ensure accuracy and traceability, Customer acknowledges that all outputs must be reviewed and verified by qualified medical, clinical, or regulatory professionals before submission to any regulatory body. Prevantic is a productivity tool, not a replacement for expert judgment.

4. Intellectual Property of Prevantic

All rights, title, and interest in the Prevantic platform, including its proprietary AI architecture, algorithms, user interface, and overall design, are the exclusive property of Prevantic. No ownership of the software is transferred under these Terms.

5. Confidentiality

Both parties agree to protect the other's confidential information with the same degree of care they use for their own. Confidential information includes non-public business information, technology, and the contents of clinical documents processed through the platform.

6. Limitation of Liability

To the maximum extent permitted by law, Prevantic shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data, arising out of the use of the platform in high-stakes regulatory submissions. Our total liability for any claim shall not exceed the amount paid by you for the service in the 12 months preceding the claim.

7. Indemnification

Prevantic will indemnify and defend Customer against any third-party claims that the service infringes upon an intellectual property right. Customer will indemnify Prevantic against any claims resulting from the nature or legality of the Customer Content.

8. Termination

Either party may terminate the agreement if the other party breaches these Terms and fails to cure the breach within 30 days. Upon termination, all licenses granted herein will immediately cease.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
